1. Introduction & Acceptance

These Terms and Conditions ("Terms") govern your use of the EssexWeb website at essexweb.uk (the "Website") and any services provided by EssexWeb ("we", "us", "our").

By accessing the Website or engaging our services, you ("Client", "you", "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website or our services.

These Terms should be read alongside our Privacy Policy, which explains how we handle your personal data.

2. Definitions

  • "Services" means web development, AI solutions, chatbot development, workflow automation, and any other digital services provided by EssexWeb.
  • "Client" means any individual or business that engages EssexWeb for Services.
  • "Deliverables" means any work product, code, designs, or materials created by EssexWeb for the Client as part of the Services.
  • "Project" means a specific scope of work agreed upon between EssexWeb and the Client.
  • "Website" means the website located at essexweb.uk and all its subdomains.

3. Services

EssexWeb provides the following services:

  • AI and RAG (Retrieval-Augmented Generation) solutions
  • WhatsApp and Telegram chatbot development
  • Full-stack web application development
  • Workflow automation and API integrations
  • LMS and e-learning platform development
  • Custom software solutions
  • EmbedAI — AI chatbot platform for website integration

The specific scope, deliverables, and timeline for each Project will be agreed in writing before work commences, typically via a project proposal or statement of work.

4. Quotations & Pricing

All quotations provided by EssexWeb are valid for 30 days from the date of issue, unless otherwise stated in writing.

Prices are quoted in British Pounds Sterling (GBP) and are exclusive of VAT unless explicitly stated otherwise. As a small business, EssexWeb may not be VAT-registered; if applicable, VAT will be clearly indicated.

We reserve the right to adjust pricing if the scope of the Project changes significantly from the original quotation. Any changes to scope and pricing will be agreed in writing before additional work is carried out.

5. Payment Terms

Unless otherwise agreed in writing:

  • A deposit of 30–50% of the total project cost is required before work commences.
  • The remaining balance is due upon project completion and before final delivery of Deliverables.
  • For larger projects, milestone-based payments may be arranged.
  • Invoices are payable within 14 days of the invoice date.
  • Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

We accept payment via bank transfer, and other methods as agreed.

6. Intellectual Property

6.1 Client Ownership

Upon full payment of all outstanding fees, the Client shall own the intellectual property rights to the custom Deliverables created specifically for their Project, unless otherwise agreed in writing.

6.2 EssexWeb Retained Rights

EssexWeb retains ownership of:

  • Pre-existing code, libraries, frameworks, and tools used in the creation of Deliverables
  • General knowledge, techniques, and methodologies developed during the Project
  • Reusable components and code snippets that are not unique to the Client's Project

EssexWeb may use non-confidential elements of completed projects in our portfolio, unless the Client requests otherwise in writing.

6.3 Third-Party Licences

Where third-party software, libraries, or services are incorporated into Deliverables, they remain subject to their respective licences. EssexWeb will inform the Client of any significant third-party dependencies.

7. Client Responsibilities

The Client agrees to:

  • Provide all necessary content, assets, access credentials, and information required for the Project in a timely manner
  • Respond to requests for feedback or approval within a reasonable timeframe (typically 5 business days)
  • Ensure that any content provided does not infringe on third-party intellectual property rights
  • Designate a single point of contact for project communication

Delays caused by the Client may result in extended timelines and may incur additional costs if resources need to be reallocated.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a Project. This includes, but is not limited to, business plans, technical specifications, customer data, and financial information.

This obligation of confidentiality survives the termination of any agreement and shall continue for a period of 2 years thereafter.

Confidential information does not include information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party prior to disclosure
  • Is required to be disclosed by law or regulatory authority

9. Limitation of Liability

To the maximum extent permitted by law:

  • EssexWeb's total liability for any claim arising from or related to a Project shall not exceed the total fees paid by the Client for that Project.
  • EssexWeb shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
  • EssexWeb is not liable for any losses arising from the Client's misuse of Deliverables or failure to maintain adequate backups.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Warranties & Disclaimers

EssexWeb warrants that all Services will be performed with reasonable skill and care, consistent with generally accepted industry standards.

We will use reasonable efforts to ensure Deliverables are free from material defects for a period of 30 days following delivery ("Warranty Period"). During the Warranty Period, we will fix any bugs or defects at no additional cost, provided they relate to the original scope of work.

Except as expressly stated in these Terms, all warranties, conditions, and representations, whether express or implied, are excluded to the fullest extent permitted by law. The Website and its content are provided "as is" without warranty of any kind.

11. Termination

11.1 By the Client

The Client may terminate a Project at any time by providing written notice. In such cases, the Client shall pay for all work completed up to the date of termination, including any committed third-party costs.

11.2 By EssexWeb

EssexWeb may terminate a Project if the Client fails to make payment when due, breaches these Terms, or becomes unresponsive for more than 30 days despite reasonable attempts to make contact.

11.3 Effects of Termination

Upon termination, EssexWeb will deliver any completed work for which payment has been received. Any outstanding invoices remain payable. Clauses relating to intellectual property, confidentiality, and limitation of liability shall survive termination.

12. Data Protection

We take data protection seriously and comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For full details on how we collect, use, and protect your personal data, please refer to our Privacy Policy.

Where EssexWeb processes personal data on behalf of the Client as part of a Project, a separate Data Processing Agreement may be required.

13. Third-Party Services

Our Services may involve the use of third-party platforms, APIs, hosting providers, and software. While we select third-party services with care, EssexWeb is not responsible for the availability, performance, or terms of third-party services.

The Client is responsible for maintaining their own accounts and licences for any third-party services required for their Project, unless otherwise agreed.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond reasonable control. This includes, but is not limited to, natural disasters, pandemics, government actions, power failures, internet outages, cyberattacks, or acts of war.

The affected party shall notify the other party as soon as reasonably practicable and use reasonable efforts to mitigate the impact.

15. Amendments

EssexWeb reserves the right to update or amend these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of the Website or our Services after changes are posted constitutes acceptance of the revised Terms.

For ongoing Projects, any changes to terms will be communicated in writing and will not apply retroactively to work already agreed upon.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Both parties agree to attempt to resolve any disputes amicably through good-faith negotiation before pursuing formal legal proceedings.
